Mercurius Capital Investment Limited (“Mercurius” or the “Company”, and together with its subsidiaries, the “Group”) is an investment holding company listed on the Catalist board of the Singapore Exchange Securities Trading Limited, principally engaged in property development, property investment and groceries business, which involves:
(i) activities such as real estate-related investments and property development activities (including acquisition, development and/or sale of real estate) and holding of investments in real estate and residential, hospitality (including hotels and/or serviced residences), commercial (retail and office), industrial and any other suitable types of properties (including mixed development properties) (“Property Related Assets”);
(ii) acquisition and holding of investments in Property Related Assets, as well as trading in and holding the same for long term investment purposes;
(iii) the manufacture, wholesale, distribution, warehousing and logistics, retain and trading of groceries products; and
(iv) in connection with the aforementioned, the operation of supermarkets and convenience stores as well as manufacturing, warehousing and logistics facilities.
On 9 April 2021, Mercurius had announced a proposed acquisition of groceries businesses in Malaysia on the rationale that this would allow us to diversify and expand into other business opportunities and strengthen our company’s competitive advantage and provide a source of recurring income to the Group.
On 12 July 2021, Mercurius has entered into a share sale agreement with Tan Lee Heng (M) Sdn Bhd, Fourseas Capital Sdn Bhd and Fourseas Holdings Sdn Bhd (collectively, the “SPV Shareholders”) to acquire 100% shareholdings of Songmart Holdings Sdn. Bhd. (“Songmart Group”), which is the holding company of Songmart Malaysia Sdn. Bhd., Tan Lee Heng Import & Export Sdn. Bhd. and Granville Grocery Sdn. Bhd.
On 28 October 2022, Mercurius completed the acquisition of groceries businesses in Johor, Malaysia, namely Songmart Holdings Sdn. Bhd. (“Songmart Group”) which wholly-owned Songmart Malaysia Sdn. Bhd.(“Songmart Malaysia”), Tan Lee Heng Import & Export Sdn. Bhd. (“Tan Lee Heng”) and Granville Grocery Sdn. Bhd. (“Granville”).
The principal business of Songmart Malaysia and Granville are in the operation of mini-markets, convenience stores and supermarkets, targeting low to mid and mid to high range consumers respectively, whereas Tan Lee Heng’s principal business is the wholesale, trading, export and import of a variety of goods such as groceries and foodstuff.
